JD Capital Solutions LLC, doing business as BOIREASY ("BOIREASY," "we," "us," or "our"), provides beneficial ownership information report filing services via API with FinCEN ("Services"). These Services are provided exclusively to our customers. No third parties are authorized to access or use the Services.
Customers are required to input all necessary beneficial ownership information themselves via the platform. While assistance via phone or support tickets is available, customers remain solely responsible for providing accurate and complete information required for filing.
The fee for filing a Beneficial Ownership Information (BOI) report is a one-time charge of $50, inclusive of applicable taxes. The fee covers one filing submission to FinCEN.
Customers acknowledge that they have the option to file their BOI reports directly with FinCEN at no cost. By choosing to use BOIREASY, customers agree to pay for the convenience of using our service, which facilitates the submission process on their behalf.
Customers must comply with all applicable federal, state, and local laws when using the BOIREASY Services, including all requirements related to the Corporate Transparency Act and FinCEN's BOI reporting regulations.
The agreement between BOIREASY and the customer is a one-time agreement, effective upon receipt of payment and successful filing of the BOI report.
Once the BOI report has been successfully filed with FinCEN, this agreement is considered fulfilled and terminated.
If payment is not successfully processed or is later reversed, BOIREASY reserves the right to pursue legal action to recover the outstanding balance.
The $49 fee includes any applicable taxes. No additional tax charges will be levied.
Payment for Services must be made upfront. BOIREASY will not submit any filings until full payment is received.
We are committed to maintaining the confidentiality of all customer information submitted through our platform. Customer information is securely encrypted.
BOIREASY will retain all customer data securely. Customers may request deletion of their information at any time, at which point BOIREASY will permanently remove their data from our system, unless we are legally required to retain it.
BOIREASY retains all intellectual property rights to its platform, Services, and any associated materials. Customers are granted a limited, non-transferable, non-exclusive right to use the platform solely for the purpose of submitting BOI reports.
The Services provided by BOIREASY are offered "as-is," without any warranty, express or implied. Customers are responsible for ensuring the accuracy of the information they submit. BOIREASY does not guarantee any specific outcome or approval of filings by FinCEN.
Customers acknowledge that if any information provided in a BOI report changes or was incorrect when initially filed, they are responsible for notifying BOIREASY within a timely manner. Updated or corrected filings must be submitted to FinCEN within 30 days after a change or discovery of an inaccuracy.
Customers acknowledge that they are solely responsible for any penalties, fines, or consequences resulting from the late, incomplete, or inaccurate submission of BOI reports. BOIREASY will not be held liable for any such penalties imposed by FinCEN.
In the event of a system error on BOIREASY's part that results in a failed filing, we will refund the $50 fee.
Customers are fully responsible for any inaccuracies or omissions in the information they provide. BOIREASY is not liable for any penalties, fines, or consequences resulting from incorrect, incomplete, or late submissions of BOI reports.
Customers agree to indemnify and hold BOIREASY harmless from any claims, damages, or penalties arising out of the submission of inaccurate or incomplete information, or due to any delays caused by the customer in providing necessary data.
BOIREASY shall not be held liable for any failure to perform the Services due to causes beyond our control, including but not limited to natural disasters, government actions, or technical failures.
These terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved exclusively in the courts located in New York, New York.
These Terms and Conditions represent the entire agreement between BOIREASY and the customer concerning the use of our Services and supersede any prior agreements or understandings.
